These Terms govern your use of our website and our services. By engaging Futur Media Ltd (“we”, “us”, “our”), you agree to these Terms.
2. Our services
We provide Shopify-focused services including (but not limited to):
- Shopify design and development
- Shopify migrations
- Conversion rate optimisation (CRO)
- Shopify SEO
- Ongoing Shopify support and retainers
Specific deliverables, timelines and pricing will be agreed in writing before work begins (via proposal, statement of work, or email confirmation).
3. Quotes, pricing & payment
- All quotes are valid for 30 days unless stated otherwise
- Prices exclude VAT unless specified
- Payment terms will be agreed before work begins
- Invoices must be paid within the timeframe stated on the invoice
- Late payments may result in work being paused until payment is received
For ongoing retainers, payments are billed monthly unless otherwise agreed.
4. Client responsibilities
To deliver work effectively, clients agree to:
- Provide required content, access and feedback in a timely manner
- Ensure supplied materials (text, images, trademarks) are owned or licensed by them
- Respond to requests that may impact timelines
Delays caused by missing information or approvals may affect delivery timelines.
5. Intellectual property
- All work remains the property of Futur Media Ltd until full payment is received
- Upon full payment, ownership of agreed deliverables transfers to the client unless stated otherwise
- Futur Media Ltd retains the right to showcase completed work in portfolios, case studies and marketing materials unless agreed otherwise in writing
Third-party tools, plugins, themes or licenses remain subject to their respective terms.
6. Revisions & scope changes
- Revisions included will be outlined in your proposal or agreement
- Requests outside the agreed scope may be quoted separately
- Significant changes may require updated timelines and pricing
7. Termination
Either party may terminate an agreement with written notice.
If a project is terminated:
- Work completed up to that point remains payable
- Any outstanding invoices must be settled
- No refunds are provided for completed or partially completed work
For retainers, termination notice periods will be defined in the agreement.
8. Liability & warranties
We aim to deliver high-quality work, but:
- We do not guarantee specific commercial outcomes (sales, rankings, revenue, conversions)
- We are not responsible for third-party platforms, services or outages (including Shopify)
- Liability is limited to the value of fees paid for the relevant service
Nothing in these Terms limits liability where unlawful to do so.
9. Confidentiality
Both parties agree to keep confidential information private unless disclosure is required by law or agreed in writing.
10. Governing law
These Terms are governed by the laws of England and Wales.
Any disputes will be subject to the exclusive jurisdiction of English courts.
